Terms of Use

Foolscap is a free tool operated by Artivicolab ("we," "us"). By using Foolscap (the "Service") you agree to these Terms. They are intentionally short, because the Service is intentionally simple. If you do not agree, please do not use the Service.

1. Not legal advice

Artivicolab is not a law firm and Foolscap does not provide legal advice. Using the Service does not create an attorney–client relationship. The templates and documents are general, are not tailored to your situation, and have not been reviewed for you by a lawyer. You are responsible for deciding whether a document is appropriate, accurate, complete, and valid for your purpose and jurisdiction, and for having important agreements reviewed by a licensed attorney.

2. The templates and their licenses

Several templates are adapted from openly licensed sources (for example, Common Paper standards under CC BY 4.0) with attribution shown on each generated document. Those sources' licenses govern that underlying text; we do not claim ownership of it and we have not modified incorporated Standard Terms. You are responsible for complying with any third-party license terms and for any text you write or upload yourself.

Your modification rights. These documents use a Cover Page model: the Cover Page (the fillable part you edit here) is freely customizable, while the source's Standard Terms are incorporated by reference at the linked URL and are not reproduced or modified by Foolscap. Under CC BY 4.0 you must keep the license notice and the link to the Standard Terms that appear in each generated document's footer, and if you go on to modify that incorporated Standard Terms text yourself you must indicate that you changed it. Everything else on the Cover Page is yours to adjust.

What "signed & sealed" means. When a document is completed through the signing flow, its Electronic Signing Certificate may state it is "approved and signed by both parties" and "sealed." This means the two parties affirmed consent and signed, and the document carries a matching SHA-256 fingerprint (so it is shown to be unaltered between the two signings). It is a consent and integrity record only. It is not an approval, endorsement, certification, or legal-validity determination by Foolscap, Artivicolab, Common Paper, or any attorney.

3. The signing certificate is not a legal guarantee

Foolscap can produce an Electronic Signing Certificate that records each party's affirmed consent, timestamps, and a cryptographic fingerprint of the document. This is provided for transparency and integrity. It is not a determination that any signature or document is legally valid or enforceable, and it is not a substitute for legal advice or for any signing formality your situation may require.

4. Your documents are yours

You keep all rights in the documents and content you create or upload. We claim no ownership and have no server that receives them; they remain on your device unless you choose to send them directly to another party. You are solely responsible for your content and for how you use it.

5. Acceptable use

You agree not to use the Service unlawfully, to infringe others' rights, to create documents for fraudulent or harmful purposes, or to attempt to disrupt, attack, or misuse the Service. The Service is for users who are of legal age and able to enter into a binding agreement.

6. No accounts, no fees

The Service is free and has no accounts, subscriptions, or payments. We may change, suspend, or discontinue the Service (or any part of it) at any time without notice or liability.

7. "As is" — no warranty

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service or any template is error-free, suitable, or legally sufficient.

8. Limitation of liability

To the fullest extent permitted by law, Artivicolab will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, data, or goodwill, arising from or related to your use of (or inability to use) the Service or any document produced with it. Because the Service is provided free of charge, our total aggregate liability for any claim relating to the Service will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

9. Third-party links and services

The Service links to or relies on third parties (for example, Common Paper for template standards, and Google Analytics, used only with your consent). We are not responsible for third-party content, terms, or practices; review theirs separately.

10. Privacy

Your use of the Service is also subject to our Privacy Policy, which explains the very limited data involved and your choices.

11. Changes

We may update these Terms. We will revise the "Last updated" date above, and material changes will be reflected on this page. Continued use after a change means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws applicable where Artivicolab is established, without regard to conflict-of-laws rules, and subject to any mandatory consumer-protection rights you have where you live. There is no mandatory arbitration and no class-action or jury-trial waiver in these Terms.
